Pro Phase Productions, Inc. (also referred to as the "Company" as represented
by the producer of the movie who is also Company president), is engaged in the development of a major motion picture tentatively
called The Nobel Connection (subtitled A Greek Story). While a multi-picture slate is not being
ruled out for the future, the Company’s primary business activity focuses on packaging and producing The Nobel Connection,
which is anticipated to appeal, critically and commercially, to a mainstream moviegoing audience and to enormous worldwide
specialty audiences.
Currently based in NW Indiana and Chicago, the Company will be opening an
office in Michigan.
The Company is currently seeking a single corporate sponsor or financier, a group of individual
investors, or a combination of collateralized loans, bridge loans, private equity, hedge funds, gap, and super gap financing
of up to $21.86 million for financing the film’s total production budget. The risk on this investment will be no greater
than $12.76 million and can be as low as $6.76 million or less.
Commissions of up to $400,000 are also
being offered to an agent or agents who bring in full financing and greenlight the film into production. The agent or top
two agents bringing full financing to the project shall receive the title of Executive Producer.
The loan
or investment for this movie may be secured or collateralized by state film tax rebates, Section 181 of the IRS Tax Code,
a Kerasotes ShowPlace Theatres exhibition agreement, one or more A-list talent, foreign presales, gap financing, product placement
advertising, and outright ownership of the movie with license to release the movie in all domestic and worldwide revenue producing
markets. These forms of collateral will be discussed throughout this document.
Various state film incentives
and a federal tax code favorable to investors will reduce the investment risk to a maximum of $12.76 million or as low as
$6.76 million or less (regardless of how the film does commercially), a figure which should readily and timely be recouped
upon its release into the various revenue-generating markets.

and internationally in all revenue-producing theatrical, ancillary and allied markets. The Nobel Connection is anticipated
